Terms and Privacy Policy (App Users)

These Terms and Conditions and Privacy Notice (“Terms”) apply to the Vega Earna mobile application (the “App”), operated and distributed by Vega Mortgages Limited (NZBN: 9429047239302) of 152 Fanshawe Street, Auckland, New Zealand (“Vega”, “we”, “us”, “our”).
By downloading, installing, accessing, or using the App, you agree to be bound by these Terms.
1. Overview of the Referral Program
1.1 What the App does
The App enables approved users to introduce prospective clients (each a “Referred Client”) to Vega-approved businesses (each a “Referee”) for Approved Services.
1.2 Rewards
Approved Referrers may be eligible to earn a reward equal to 20% of the applicable Commission (the “Reward”), credited monthly to their Vega Visa prepaid card, provided all eligibility and compliance requirements are met.
2. Definitions
In these Terms, unless the context requires otherwise:
- App means the Vega Earna mobile application.
- Approved Services means the services offered by Referees from time to time and made available for referral through the App (as shown in the App), which may include finance, lending, insurance, wealth-related services, and other services approved by Vega.
- Commission means the commission, fee, or other remuneration actually received (and not subsequently reversed) in connection with a qualifying referral, as determined by Vega acting reasonably, including any adjustments, chargebacks, refunds, or clawbacks.
- Referee means a Vega-approved business that receives referrals through the App, being:
o Vega Mortgages
o Vega Protect
o Vega Commercial
o Vega Wealth
o Vega Auto and Personal Loans
o and any pre-approved referral partners authorised by Vega to receive referrals through the App.
- Referred Client means the prospective client you introduce to a Referee through the App.
- Referrer / User / you means the person applying for approval and (once approved) using the App to submit referrals.
- Reward has the meaning in clause 1.2.
- Vega Visa Card means the Vega Visa prepaid card (digital or physical) issued or administered by iGo Direct (or another provider we notify you of).
3. Eligibility, Category Limits, and Approval
3.1 Approval required
Use of the App as a Referrer is subject to Vega’s approval. We may approve or decline an application, or suspend or withdraw approval, at any time (acting reasonably) for compliance, legal, fraud-prevention, risk, or operational reasons. If your approval is declined or withdrawn, you are not eligible to earn Rewards.
3.2 Age and location
You must be located in New Zealand, be at least 16 years old, and if you are under 18, you must have permission from a parent or legal guardian to use the App.
3.3 External (non-Vega) Referrers are limited to certain categories
If you are not Vega personnel authorised by Vega to participate, you may only be approved as a Referrer if you fall within one of the following categories (and you are not excluded under clause 3.4):
- Real estate agents whose clients may require finance or other Approved Services;
- Accountants and lawyers whose clients may require finance, lending, insurance, wealth-related services, and/or other Approved Services; or
- an approved centre of influence (a professional or business contact who has a legitimate relationship with the Referred Client and a genuine reason to introduce them), provided you are not otherwise ineligible under these Terms.
3.4 Excluded persons (not eligible)
You must not apply for or use the App as a Referrer if you are:
- Salaried staff at banks, insurers, lenders, or any financial institution; or
- Employees of any regulated financial services provider.
3.5 Verification and ongoing obligation
We may request information to verify your identity, eligibility category, and ongoing compliance (including occupation and business details). You must promptly notify us if you become ineligible or excluded after approval. We may suspend or terminate your access and/or eligibility for Rewards from the date you became ineligible.
3.6 Legal compliance
You agree to comply with all applicable laws and regulations, including (where relevant) the Financial Markets Conduct Act 2013, Fair Trading Act 1986, and Privacy Act 2020.
4. Referral Requirements
4.1 In-App submission only
Referrals must be submitted through the App using your unique referral ID and the App workflow. Referrals submitted outside the App will not be eligible for Rewards.
4.2 Consent and appropriate introductions
You must only refer Referred Clients that you have spoken to about the referral and who have consented to you sharing their details for the purpose of being contacted by Vega and/or the relevant Referee.
4.3 Prohibited referrals
The following are not eligible:
- self-referrals;
- referrals that are fraudulent, misleading, or abusive;
- referrals that breach these Terms or applicable law;
- any other excluded categories communicated in the App or by Vega from time to time.
4.4 Vega determination
Vega may determine (acting reasonably) whether a referral is valid, qualifies for a Reward, or is subject to adjustment, including to prevent duplication, fraud, duplication, or misuse.
5. Rewards, Calculation, and Payments
5.1 Reward calculation
Rewards are calculated as 20% of the applicable Commission attributable to your qualifying referral, after any adjustments, reversals, chargebacks, clawbacks, refunds, or cancellations.
5.2 When Rewards are paid
Rewards are paid monthly on the last Thursday, subject to clauses 5.3–5.7.
5.3 Compliance checks (KYC/AML and other requirements)
Rewards are subject to completing any required KYC/AML or other compliance verification. If verification is incomplete, cannot be completed, or fails, Rewards may be withheld, delayed, or forfeited where legally required.
5.4 Payment method
Rewards are paid to your Vega Visa Card. You are responsible for maintaining an active card/account and completing all required onboarding steps.
5.5 Card Fees:
Cardholders are charged a fee equal to 5% of the total amount of all funds paid to their card.
This fee is automatically deducted at the time funds are loaded or paid to the card. The net amount received by the cardholder will be the funded amount less the 5% fee.
Fees are non-refundable except where required by law. We may update fees from time to time, and any changes will be communicated in accordance with these Terms.
5.6 Adjustments and reversals
If Commission is adjusted, reversed, refunded, or clawed back for any reason, the corresponding Reward may be reduced, reversed, withheld, or set off against future Rewards.
5.7 Minimum thresholds, rounding, and statements
Vega may apply reasonable administrative rules (for example, rounding, minimum payout thresholds, payment limits, and reporting periods) as displayed in the App or notified to you.
5.8 Tax
You are responsible for any tax obligations arising from Rewards.
5.9 No assignment
Rewards are personal to you and may not be assigned, transferred, or sold.
6. Acceptable Use
You agree not to:
- violate any applicable laws or regulations;
- mislead Referred Clients or make false claims about Vega, the App, or any Referee;
- spam, phish, harass, or engage in abusive behaviour;
- upload or distribute content that infringes intellectual property or personal rights;
- attempt to probe, scan, reverse-engineer, or circumvent App security;
- collect, use, or disclose personal information without appropriate consent.
7. No Financial Advice
The App provides a referral and introduction function only. Nothing in the App constitutes financial advice. Referred Clients should seek independent advice where appropriate.
8. Intellectual Property
All content in the App, including branding, logos, code, text, and referral tools, is owned by or licensed to Vega. You must not copy, modify, reverse-engineer, distribute, or commercially exploit any part of the App without our prior written consent.
9. App Store and Platform Terms
The App may be distributed through the Apple App Store and/or Google Play Store. You agree to comply with their applicable terms and policies. Vega is solely responsible for the App and these Terms to the extent permitted by law. The App may auto-update from time to time.
10. Changes, Suspension, and Termination
10.1 Changes
We may update these Terms from time to time. We will notify you of material changes via the App and/or email where required. Continued use after changes take effect constitutes acceptance.
10.2 Suspension or termination
We may suspend or terminate your access to the App and/or your eligibility for Rewards if you breach these Terms, become ineligible, misuse the platform, or where required by law.
11. Limitation of Liability
To the maximum extent permitted by law:
- Vega is not liable for indirect, consequential, or special loss, loss of profit, or loss of opportunity arising from the App or these Terms.
- Vega’s total liability arising out of or in connection with the App is limited to the lesser of:
o NZD $500, or
o the total Rewards paid to you in the previous 6 months.
Nothing in these Terms limits any rights you may have under the Consumer Guarantees Act 1993 where it applies.
12. Dispute Resolution and Governing Law
12.1 Good faith resolution
Disputes will first be discussed in good faith.
12.2 Mediation / arbitration
If unresolved, disputes will be submitted to mediation or arbitration under New Zealand law (as determined by Vega acting reasonably), and proceedings will be confidential to the extent permitted by law.
12.3 Governing law
These Terms are governed by the laws of New Zealand and the parties submit to the non-exclusive jurisdiction of New Zealand courts (subject to clause 12.2).
13. Privacy Notice
13.1 Privacy commitment
We collect, use, store, and disclose personal information in accordance with the Privacy Act 2020 (New Zealand) and other applicable laws.
13.2 What we collect
We may collect:
- name, email, phone number, and contact details;
- account login and profile information;
- eligibility/verification information (including occupation/category and identity checks where required);
- referral information you submit (including Referred Client details where provided);
- Reward, payment, and transaction details;
- device identifiers, App usage data, and technical logs.
13.3 How we use your information
We use personal information to:
- create and manage your account;
- facilitate introductions and connect Referred Clients with Referees;
- process Rewards and comply with KYC/AML and other legal obligations;
- operate, maintain, secure, and improve the App;
- communicate service updates and offers (you may opt out of marketing at any time).
13.4 Sharing your information
We may share information with:
- the relevant Referee(s) to enable them to contact the Referred Client;
- payment providers and processors (including the card issuer/operator) to operate the Rewards program;
- service providers assisting with hosting, analytics, verification, customer support, and security;
- regulators, law enforcement, or legal advisers where required or permitted by law.
- We do not sell your personal information.
13.5 Storage and overseas disclosures
Your information may be stored on servers located in New Zealand, Australia, and/or trusted global providers. We take reasonable steps to ensure that any overseas recipients protect personal information in a way that is consistent with New Zealand privacy requirements.
13.6 Security
We implement reasonable safeguards to protect personal information from unauthorised access, disclosure, loss, or misuse.
13.7 Retention
We retain personal information only for as long as necessary to provide the App, administer Rewards, comply with legal and regulatory obligations, resolve disputes, and enforce these Terms.
13.8 Your rights
You have the right to:
- access your personal information;
- request correction of inaccurate information;
- request deletion where applicable;
- withdraw consent to marketing communications.
To exercise your rights, contact compliance@vegalend.co.nz and include your full name, email, and details of your request. We aim to respond within 20 business days.
13.9 Complaints
If you have a privacy complaint, contact us first using the details in clause 14. If we can’t resolve it, you may contact the Office of the New Zealand Privacy Commissioner.
13.10 Updates to this Privacy Notice
We may update this Privacy Notice to reflect changes in legal requirements or our practices. We will notify users of significant changes via email or in-app notifications where appropriate.
